OLMSTED MEDICAL CENTER ONLINE (the "Site") is an online information service provided by OLMSTED MEDICAL CENTER ("OMC"). The information contained on this Site is compiled from various sources ("Information Providers"). Neither OMC nor Information Providers directly or indirectly practice medicine or dispense medical services as a part of the Site. By accessing or using the Site, you agree to be bound by the terms and conditions set forth below. If you do not wish to be bound by these terms and conditions, you may choose not to access or use the Site. These terms and conditions govern your use of the Site provided by OMC. These terms and conditions are subject to change at the sole discretion of OMC. Your use of the Site after such changes are implemented constitutes your acceptance of the changes. In no event will OMC or Information Providers be liable to you or anyone else for any decision made or action taken by you or anyone else in reliance upon the information provided through the Site.
IN NO EVENT SHALL OMC OR INFORMATION PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR ANY OTHER MONETARY OR OTHER DAMAGES, FEES, FINES, PENALTIES OR LIABILITIES ARISING OUT OF OR RELATING IN ANY WAY TO THIS SITE, OR SERVICE ACCESSED THROUGH THE SITE AND/OR CONTENT OR INFORMATION PROVIDED HEREIN. - JURISDICTION.
This Agreement is entered into, performed and shall all be governed and construed in accordance with the laws of the State of Minnesota applicable to agreements made and to be performed in Minnesota. You agree that any legal action or proceeding between OMC and you for any purpose concerning this Agreement or the party’s obligations hereunder shall be brought exclusively in a Federal or state court of competent jurisdiction sitting in Minnesota. Any cause of action or claim you may have with respect to this Agreement must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred.
THE SERVICE IS NOT TARGETED TO USERS IN ANY PARTICULAR LOCALITY, NOR IS IT INTENDED TO CONSTITUTE DOING OF BUSINESS IN ANY JURISDICTION, NOR TO BE A SOLICITATION OF BUSINESS ANYWHERE ON BEHALF OF OMC OR ANY INFORMATION PROVIDERS, NOR TO CONSTITUTE ANY CONTACTS WITH ANY JURISDICTION OUTSIDE OF THE STATE OF MINNESOTA.
In any jurisdiction in the world, the common, statutory, regulatory, or codified law of which would void this Agreement in whole or in any essential part (including, without limitation to, the exclusive venue and exclusive remedy provisions, and warranty disclaimers), or which makes accessing the Site, illegal, are unauthorized to use the Site, do so entirely at their own risk.
- MODIFICATION.
The foregoing constitutes the terms and agreements by which you may access the Site. They may only be modified at the sole discretion of OMC as consistent with this Agreement. Anything in the Site inconsistent or conflicting with the terms and conditions is superseded by the terms of the foregoing.
